The rules that govern your use of cqfdlab.com — intellectual property, newsletter sign-up, limitation of liability and the law applicable in Quebec.

These terms of use (the "Terms") govern access to and use of cqfdlab.com (the "Site"), operated by CQFD Lab inc. ("CQFD Lab", "we"). By browsing the Site, you acknowledge that you have read these Terms and you agree to comply with them. If you do not agree, please stop using the Site.

2. Acceptance of the Terms
Using the Site means you fully accept these Terms in the version in force at the time of your visit. We reserve the right to change them at any time; the date shown at the top indicates the latest revision.
You confirm that you have legal capacity to enter into these Terms and, if you act on behalf of an organisation, that you have authority to bind it.
3. Purpose of the Site and nature of the content
The Site presents CQFD Lab's approach, advisory services, editorial content (journal) and OPEN1200 sessions. Articles, analyses and other publications are provided for information and editorial purposes only. They do not constitute legal advice, financial advice or any individualised professional recommendation.
Any business decision you take based on content published on the Site is your sole responsibility. We invite you, where appropriate, to consult the relevant professionals before acting.
4. Acceptable use
You agree to use the Site in compliance with applicable laws and these Terms. You may not, in particular:
- attempt to access without authorisation non-public parts of the Site, its systems or its data;
- disrupt the normal operation of the Site (denial of service, abusive scraping, bypassing technical security measures);
- upload or distribute unlawful, defamatory, misleading content or content that infringes the rights of others;
- submit our forms in an automated or fraudulent manner or by bypassing the anti-spam field.
5. Intellectual property
All elements making up the Site — text, articles, illustrations, graphics, photographs, videos, logos, source code, layouts, overall structure and editorial choices — are protected by copyright and, where applicable, by trade-mark law. Unless explicitly stated otherwise, these elements are the exclusive property of CQFD Lab inc. or its licensors.
The marks "CQFD Lab", "OPEN1200", "Here, to Nurture" and the related logos, visual identifiers and signatures are the property of CQFD Lab inc. Any unauthorised use is strictly prohibited.
You are authorised to browse the Site and to print or download reasonable extracts of content for your personal, non-commercial use, provided that you keep all intellectual-property notices intact. Any other use — reproduction, public display, adaptation, translation, commercial exploitation, inclusion in a derivative product or use to train machine-learning models — requires our prior written authorisation.
Hyperlinks to public pages of the Site are permitted, provided they do not create confusion as to the source of the content, do not appear in a disparaging or misleading context, and do not embed the Site in an iframe.
6. Newsletter and communications
Signing up for our newsletter is voluntary and free of charge. By subscribing, you consent to receive periodic emails from CQFD Lab covering, in particular, our analyses, journal publications, OPEN1200 sessions and advisory services.
You agree to provide accurate information (name, email and, where applicable, company and role) and to keep your preferences up to date through the personal preferences page sent to you by email.
You can unsubscribe at any time via the link at the bottom of every email, or by writing to services@cqfdlab.com. The processing of personal information collected in this context is governed by our privacy policy.
7. OPEN1200 appointments and third-party services
OPEN1200 appointments (20-minute diagnostic) are scheduled through a third-party booking tool (Cal.com), the use of which is governed by that provider's own terms and policies. We are not responsible for the operation, availability or practices of those third-party services.
8. Availability and no warranty
The Site is provided "as is" and "as available". While we use reasonable efforts to keep the Site working properly and to ensure the accuracy of the published content, we cannot guarantee that the Site will be free from errors, uninterrupted, secure in all circumstances or compatible with your set-up.
To the extent permitted by law, and without prejudice to any consumer warranties applicable under Quebec's Consumer Protection Act, we make no express or implied warranty as to the quality, reliability, accuracy or fitness of the Site and its content for any particular purpose.
9. Limitation of liability
To the fullest extent permitted by applicable law, CQFD Lab inc., its officers, employees and contributors shall not be liable for any indirect, incidental, special, exemplary or consequential damages (including loss of profits, loss of data, loss of business opportunities or harm to reputation) arising from the use of, or inability to use, the Site, its content or any linked third-party services.
This clause does not limit any liability that cannot be excluded or limited by law, in particular in cases of gross or intentional fault, nor any rights you may have under mandatory consumer-protection rules in Quebec.
10. Links to third-party sites
The Site may contain links to websites operated by third parties. These links are provided for convenience; we have no control over their content and disclaim any responsibility for their availability, accuracy or their own terms and policies.
11. Personal information
The processing of your personal information when you use the Site (forms, newsletter, access logs, browser local storage) is described in detail in our privacy policy, which forms an integral part of these Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws in force in the province of Quebec and the federal laws of Canada applicable therein, excluding any conflict-of-laws rule that would lead to the application of another law.
Any dispute relating to the use of the Site or to the interpretation of these Terms shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montréal (Quebec, Canada), subject to any mandatory rules applicable to consumers.
13. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.
